WHACO! Database Update

For WHACO! members with access, the WHACO! Complete Database, an update was posted on December 22, 2008 to include over 34500 entries. The database now includes the Scott J. Winslow & Assoc. July and October auctions as well as two Spink autions from July and September. The November Spink-Smythe Scripophily auction is discussed below.

Changes to entries required by the Spink auction are in the quality of the certificates. Spinks uses AVF (about very fine), AEF (about extremely fine), GVF (good very fine), etc. where U.S. auctions have used VF-, VF+, etc.

In the auction name (ex: the Winslow auction in October was shortened to WINS#0810) the conversion of poinds (£) to dollars at the time of the auction is included. These factors were applied to the Spink prices realized in pounds to reflect dollars realized in the database. Examples:

Since Spink merged with R. M. Smythe, future autions by Spink Smythe will use the code "S-SM#" and the auction number. For example, the Nov 2008 auction with 253 items, now available online, is labeled S-SM#289. The Spink Smythe auction catalog and prices realized were both in U.S. dollars.

Smythe included information on the certificate number and number of shares in their description and that data has been included in the remarks.

WHACO! is always glad to announce new Scripophily shows and auctions. WHACO! Look Out!!!

There seems to be a scam out there to sell "BOGUS" U.S. Treasury securities from the 1930's. The bond is being offered in quantity to a number of dealers by a source in eastern Europe. Substantial money is potentially involved. The seller even goes through the case on how the bonds were found. Several things to watch out for include bad grammar for this offering of 1934 bonds and a representation of the bonds that is very close to how currency appears...probably illegal. Check out the situation and see the material presented about what are in all probability BOGUS bonds.

Processing Requirements for Cancelled Security Certificates

SECURITIES AND EXCHANGE COMMISSION Proposed Rule Change

The SEC has proposed a change to processing cancelled securities that could have a major impact on our hobby. See the proposed change.

Summary:The Commission is publishing for comment proposed rules to improve the processing of securities certificates by transfer agents. Proposed Rule 17Ad-19 under the Securities Exchange Act of 1934 would require every transfer agent to establish and implement written procedures for the cancellation, storage, transportation, and destruction [emphasis added] of securities certificates. The rule would also require transfer agents to: mark each cancelled securities certificate with the word "cancelled"; maintain a secure storage area for cancelled certificates; have specific procedures for the destruction of cancelled certificates, and maintain an electronic database of all of its cancelled certificates. Additionally, the Commission proposes to codify that Rules 17f-1 (the lost and stolen securities rule) and 17Ad-12 (the transfer agent safekeeping rule) apply to cancelled certificates.

Winter 2000 WHACO! News Mailed

The Winter 2000 WHACO! News has been mailed on February 26th. Be sure and use the new Database PASSWORD on page 2 for Internet access to the WHACO! Database. The old password expires on March 3rd.

WHACO! pricing has changed slightly. Regular membership is $20/year for U.S. members and $25 for international member. The extra cost for international members does not completely cover the extra cost of mailing the newsletter worldwide.

The WHACO! Database Split Up

The WHACO! Database has become so large (over 12,000 records) that it can be unreasonable slow when Internet traffic is high. As a result, the WHACO! Database has been divided into two pieces

  • WHACO! Recent Database Search (Fast)
  • WHACO! Complete Database Search (Slow)


  • The "Recent Database" is the most recent three years and in most cases will get the data you want more quickly. The Complete WHACO! Database is still available for historical purposes. Just select the "radio" button for the database you want.

    The completeWHACO! Database is available on 3.5" diskette to members for $25 in Microsoft Excel 4.0 format (this can be read by more advanced versions of Excel).

    Strasburg Update — $120,000 sale

    The R.M. Smythe live auctions on 21 and 22 January had a couple of interesting results and a NEW RECORD.

    An original share certificate from the Standard Oil Company brought $120,000 plus a commission of $14,400 (12%). The certificae was signed twice by J. D. Rockefeller and by Henry Flagler. The lot 1076 certificate is #21 from 1871. Certificate #1 is held by the Rockefeller family.


    Item #2150, an Andrew Carnegie sidned Pullman's Palace Car Company certificate from 1878 sold for $70,000 plus a $8,400 commission (12%). The certificate was also signed by George Pullman as President. This was only the second Carnegie-signed certificate to appear in a public auction in a decade.

    A new antique bond fraud revealed

    Business Week, 2/5/99, On-Line News Flash! section says:

    "Will pre-World War II German bonds someday be redeemed -- and pay investors a king's ransom? A Michigan bond house's efforts to market a batch of such controversial bonds (see Up Front, "Weimar Bonds: A Chunk of History, a Whole Lot of Risk," 11/25/96) is landing the firm on the wrong side of the Securities & Exchange Commission. On Feb. 4, the SEC filed a civil lawsuit in the U.S. District Court for the Southern District of Florida against J.W. Korth & Co., a Farmington Hills (Mich.) outfit that had been marketing some 1924 and 1930 defaulted German bonds from its Miami office. "

    A new antique bond fraud revealed

    The Washington Post 12/2/98 DIGEST section says:

    "The SEC said two Florida men fraudulently sold 19th-century railroad bonds, claiming some of them could be worth billions of dollars. The Securities and Exchange Commission obtained a court order freezing the assets of Peter D. Zaccagnino III of Kissimmee and John L. Klein of Miami. The order also requires the men to provide an accounting of the $4.8 million they received from investors and to stop marketing the bonds, which are worthless except as memorabilia, the SEC said."

    SEC v. Albert E. Carter, Kelly Polatis and Eunice Polatis, Civil Action

    No. 2:98CV 0440B, (USDC D.Ut.)(June 18, 1998)

    On June 18, 1998, a civil complaint was filed against Albert E. Carter, Kelly Polatis and Eunice Polatis alleging the defendants have, since at least March 1997, been perpetrating a securities fraud by selling over $3.5 million of nineteenth century state and railroad bonds, which have only nominal value as collectibles, to investors as investment vehicles capable of generating extraordinary returns to those investors. The bonds being sold by the defendants were issued by the Chicago, Saginaw & Canada Railway Co. in 1873, the East Alabama & Cincinnati Railway Co.in 1870 and by the State of Mississippi in 1838. The defendants have represented among other things that the bonds are redeemable in gold and are guaranteed by the United States government; Carter has also represented that the East Alabama bonds are guaranteed by the State of Alabama. It is also alleged that Carter has sold interests in an offshore investment program into which he claims the nineteenth century bonds can be placed, generating annual returns of 100% to 500%.

    The complaint alleges that the defendants violated Section 17(a) of the Securities Act of 1933 and Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder. As part of the complaint, the Commission seeks, among other relief: a preliminary injunction; a freeze of the defendants assets; a freeze of the assets of Valice Ltd. LLC, Duro L.C. and Iron Horse One, Inc., three relief defendants who received proceeds of sales by the Polatises; disgorgement of all illegally obtained profits with prejudgment interest thereon and the imposition of civil money penalties.

    Also on June 18, 1998, the Honorable Dee V. Benson, United States District Judge, issued an order freezing the assets of Carter, Kelly Polatis, Eunice Polatis and the three relief defendants.

    The Securities and Exchange Commission sued three individuals in Utah, alleging they fraudulently sold more than $3.5 million in 19th-century state and railroad bonds. In a case filed in federal court in Salt Lake City, the SEC alleged that the bonds have only nominal value as collectibles but were sold as investment vehicles capable of generating huge Returns. The bonds, sold since at least March 1997, were issued by the Chicago, Saginaw & Canada Railway Co. in 1873, the East Alabama & Cincinnati Railway Co. in 1870 and by the state of Mississippi in 1838. Lawyers for the defendants couldn't be reached immediately for comment.
